Terms of Service

1. Acceptance of Terms

By accessing or using FlipList AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and FlipList AI. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those changes.

2. Description of Service

FlipList AI is an AI-powered listing generator designed for online resellers. The Service allows users to upload product photos and receive optimized, ready-to-post listings for major reselling platforms including:

• eBay
• Poshmark
• Mercari
• Facebook Marketplace
• Depop

The Service is available in two tiers:

• Free tier — Generate up to 3 listings
• Pro tier — Unlimited listings, bulk mode, crosslisting, inventory tracking, background removal, and additional features

3. Account Terms

To use certain features of the Service, you may need to create an account. By creating an account, you agree to the following:

• You must be at least 13 years of age to use the Service
• You are responsible for maintaining the security of your account and password
• You may not maintain more than one account per person
• You must provide accurate and complete registration information
• You are responsible for all activity that occurs under your account

4. AI-Generated Content Disclaimer

• We do not guarantee the accuracy of pricing suggestions, product descriptions, titles, or any other AI-generated content
• Users are solely responsible for reviewing, editing, and verifying all AI-generated content before posting on any platform
• FlipList AI is not liable for inaccurate listings, pricing errors, misleading descriptions, or any financial losses resulting from the use of AI-generated content
• AI-generated content should be treated as a starting point and a tool to assist you — not as final, publish-ready copy

5. Subscription & Billing

Paid plans are billed securely through Stripe. The following plans are available:

• The monthly plan includes a 3-day free trial
• All subscriptions auto-renew at the end of each billing period unless cancelled
• You may cancel at any time through your account settings or the billing portal
• Cancellation takes effect at the end of the current billing period — you retain access until then

6. Refund Policy

Due to the digital nature of the Service, all sales are final. No refunds will be issued after the 3-day trial period has ended.

• If you cancel during the free trial, you will not be charged
• After the trial period, charges are non-refundable
• Exceptions may be considered on a case-by-case basis

7. Acceptable Use

You agree not to use the Service to:

• Engage in any illegal or unlawful activity
• Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Attempt to reverse engineer, decompile, or disassemble the underlying AI technology
• Resell, redistribute, or sublicense the Service or any content generated by it
• Use automated bots, scrapers, or other automated tools to access the Service
• Violate the terms of service of any third-party platform (eBay, Poshmark, Mercari, Facebook, Depop, etc.)

Violation of these terms may result in immediate account termination without notice or refund.

8. Third-Party Platforms

FlipList AI is not affiliated with, endorsed by, or sponsored by eBay, Poshmark, Mercari, Facebook/Meta, Depop, or any other third-party reselling platform.

• Users are solely responsible for complying with each platform's terms of service when posting listings
• FlipList AI is not liable for any account suspensions, restrictions, penalties, or other consequences imposed by third-party platforms
• All trademarks and platform names are the property of their respective owners

9. eBay Integration

FlipList AI offers an optional OAuth integration with eBay. By connecting your eBay account, you acknowledge and agree to the following:

• We access only the permissions you explicitly grant during the authorization process
• You may disconnect your eBay account at any time through your FlipList AI settings
• FlipList AI is not responsible for any actions taken on your eBay account as a result of using the integration
• You remain fully responsible for all listings and account activity on eBay

10. API Terms

If you access the FlipList AI API, the following additional terms apply:

• API access is subject to usage limits determined by your subscription plan tier
• API keys are confidential — you are responsible for keeping them secure and must not share them publicly
• Abuse, excessive usage, or any activity that degrades the Service may result in immediate key revocation
• We reserve the right to modify API rate limits with reasonable notice

11. Intellectual Property

• Your listings: You own the listings generated for you through the Service
• Your photos: User-uploaded photos remain the sole property of the user
• Our technology: FlipList AI retains all rights to the underlying AI technology, algorithms, software, branding, and the Service itself
• Nothing in these Terms transfers ownership of our intellectual property to you

12. Limitation of Liability

FlipList AI is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability shall not exceed the amount paid by you to FlipList AI in the 12 months preceding the claim
• This limitation applies to all causes of action, whether in contract, tort, or otherwise

13. Indemnification

You agree to indemnify, defend, and hold harmless FlipList AI, its owners, operators, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate through the Service

14. Termination

• We reserve the right to suspend or terminate any account that violates these Terms, at our sole discretion and without prior notice
• You may delete your account at any time through your account settings
• Upon termination, your right to use the Service ceases immediately
• Sections of these Terms that by their nature should survive termination will remain in effect

15. Changes to Terms

We reserve the right to update or modify these Terms at any time. When changes are made, we will update the "Last updated" date at the top of this page.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should discontinue use of the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction within the United States.
